LeoBay 条款 Marketplace Terms

人才市场里有三方：买方（发需求、下单、付款的人）、接单方（帮工，交付服务的人）和平台（oceanleo Limited）。服务合同只在买方与接单方之间成立： 接单方是独立服务提供者，不是平台的雇员、代理或合伙人；平台不是服务合同的一方，不对交付质量作担保， 也不是雇主。平台提供的是撮合、消息、合同记录、支付托管与争议处理等技术与居间服务。

支付托管是唯一的例外：买方付款由平台指令 Stripe 托管、放款与退款，这一部分由平台对你负责。

Three parties: the buyer, the seller (an independent contractor, not our employee or agent) and the platform (oceanleo Limited). The service contract exists only between buyer and seller; the platform is an intermediary and technical service provider, not a party and not an employer — except for the payment escrow it operates, for which the platform is responsible to you.

绑卡：买方先在「账单」页绑定一张银行卡。卡在 Stripe 的托管页录入，站内不接触卡号。 没有可用的卡不能签有偿合同。

扣款与托管：有偿合同签约生效的那一刻，从买方绑定的卡扣收「合同金额 + 支付通道费」， 资金由 Stripe 托管，平台不持有买方的钱。一口价、按次会诊、按时计费：签约扣全额；分阶段合同：签约只扣第 1 段， 买方每验收一段就把该段付给接单方，同时扣下一段。免费协作不扣款、不进托管。

支付通道费：每笔扣款的通道费 = 合同金额 × 3.9%（向上取整到分）+ $0.30，由买方承担，用于覆盖 Stripe 收单成本，平台不以此盈利。接单方到手的是合同金额全额，平台不抽佣。

放款：买方验收后，托管的该段金额付给接单方。买方在验收期内不提异议的自动验收：一口价与分阶段 7 天、按时计费 3 天、按次会诊 2 天， 验收期可以延长，累计最多 14 天；订单页会写明到期时间。

接单方收款账户：接单方需在「收益」页先选择收款银行所在国家，再开通 Stripe Express 收款账户； 身份核验由 Stripe 完成，平台不保存证件。账户就绪后才能接有偿的活；账户被 Stripe 限制或停用期间不能接有偿的活。 可开通的国家以开户页列出的为准（由平台所在的香港 Stripe 账户能创建的 Express 国家决定，不是平台自设的名单）。 香港账户：钱先在平台的 Stripe 账户托管，验收后转给接单方；其他国家：扣款时即以接单方名义结算， 验收后由 Stripe 打到接单方的银行账户，资金结算前页面显示「正在打到银行卡」。

The buyer binds a card on a Stripe-hosted page (we never see the number). When a paid contract activates, contract amount plus channel fee is charged and held by Stripe; the platform does not hold the money. Fixed-price, per-session and hourly contracts are charged in full at signing; milestone contracts charge one segment at a time. Channel fee = amount × 3.9% (rounded up) + $0.30, paid by the buyer to cover Stripe's acquiring cost; the seller receives the full contract amount and the platform takes no commission. Money is released on acceptance or auto-acceptance (7 days fixed/milestone, 3 hourly, 2 per-session; extendable up to 14 days). Sellers need a Stripe Express account in a supported country; Stripe verifies identity and we store no documents.

签约前（草稿、协商中）：任一方可以取消，此时尚未扣款，没有退款问题。

进行中：任一方可以取消进行中的合同。取消后，托管中尚未放款的全部金额退回买方原付款卡，含支付通道费（Stripe 不退还的手续费由平台承担）。已经验收放款的段不因取消而退回。

验收不通过：买方对交付不满意，先在合同里提改稿或与接单方协商；协商不成，任一方可发起争议（第 4 节）， 争议期间合同冻结、不会自动验收。

退款只退回原付款方式，不能改打别的卡或账户；到账时间取决于发卡行，通常为数个工作日。 拒付（chargeback）不是取消或退款的途径：对托管付款发起拒付会绕过接单方，请使用取消或争议流程。

Before signing either side can cancel and nothing has been charged. During a contract either side can cancel; every held, not-yet-released amount goes back to the original card in full, channel fee included (we absorb what Stripe keeps). Released segments are not refunded by cancelling. If a delivery is not acceptable, ask for revisions or open a dispute (Section 4); a disputed contract is frozen and will not auto-accept. Refunds go only to the original payment method. A chargeback is not a cancellation path — use cancellation or a dispute instead.

先协商：出问题先在订单的聊天里说清楚；合同、交付与聊天记录都留在站内，这是双方唯一能拿出来的凭据。

发起争议：协商不成，任一方可对进行中的合同发起争议，写明原因、说明和证据（每次最多 50 项）。同一份合同同时只能有一条进行中的争议；争议期间合同冻结。对方可以提交自己的陈述和证据； 发起方可以撤回。

争议评估：双方都能免费获得一份自动评估，它只陈述机器能核对的事实——交付时间对照约定时间、 已验收的比例、按时计费已记录的时长——并给出倾向性提示。评估不具约束力，也不会替任何人做决定。

平台裁定：任一方可随时请求平台人工裁定，包括在评估之后。裁定以交付物、合同记录与站内聊天记录为依据， 结论只有四种：支持买方（托管金额全退，含通道费）、支持接单方（托管金额全转）、按比例分割 （按时计费与按次会诊按已记录时长占约定时长的比例；退回部分不含通道费）、无过错（资金不动）。 一口价与分阶段合同按交付清单或已验收里程碑整段判定，不做比例分割。

裁定对托管资金有约束力：平台按裁定指令 Stripe 退款或放款。裁定不是仲裁，也不剥夺任何一方向有管辖权的法院寻求救济的权利。

Talk in the order thread first. If that fails, either side may open a dispute on a working contract with reason, statement and up to 50 evidence items; the contract freezes; the other side may respond; the opener may withdraw. A free automated assessment states only machine-checkable facts and is not binding. Either side may request a human ruling at any time. Rulings are buyer-favoured (full refund incl. fee), seller-favoured (full release), split (time-based contracts, by recorded versus agreed time; the refunded part excludes the fee) or no-fault (money stays). Rulings bind the escrowed funds only and do not bar court remedies.

• 用真实身份开通 Stripe Express 收款账户；账户是你本人的，不得借用或出借。
• 亲自履约；未经买方书面同意不得转包。
• 站内签的订单，不得要求买方在平台外付款或另付任何费用。
• 交付物不得侵犯他人版权、商标、肖像或其他权利，不得含违法内容；违规内容按 版权政策 处理。
• 医疗、法律、兽医等门禁领域只做知识答疑，不做诊疗、不出法律文书、不代办事务；只在自己的专业领域内作答， 并对自己的回答负责。
• 自行负责所在地的税务申报与执业合规。

Open your own Stripe Express account under your real identity; perform personally and do not subcontract without the buyer's written consent; never ask a buyer to pay off-platform for an on-platform order; deliver nothing infringing or illegal; in gated fields (medical, legal, veterinary) give knowledge only, never treatment, documents or representation; handle your own taxes and professional compliance.

• 需求描述真实、完整；改动范围请在合同里改，不要口头加活。
• 不得诱导接单方把站内订单挪到平台外付款。
• 验收要及时；收到合格交付后不得以取消、争议或拒付套取退款。
• 保持一张可用的银行卡；分阶段合同的下一段扣款失败会收到通知，请及时处理。

站外合作：平台强烈不建议在平台外完成交易与付款——站外发生的一切平台不托管、不记录、不介入、不裁决、不赔付。 平台不禁止你和你认识的人在站外合作，也不会因此封号；但站内已签的订单必须在站内付款。

Describe the work truthfully and change scope inside the contract; do not lure a seller into off-platform payment for an on-platform order; accept promptly and do not use cancellation, disputes or chargebacks to keep good work for free; keep a working card. Off-platform dealing is strongly discouraged and entirely unprotected, but not forbidden and never grounds for a ban.

平台不收佣金、不收服务费；买方付的支付通道费（第 2 节）只覆盖 Stripe 收单成本，金额即为你在付款前看到的数字， 没有额外附加。接单方是独立经营者，自行申报并缴纳其收入的税款；平台不代扣代缴，不出具 1099 或其他税表， 也不为服务合同开具发票。收款账户所在国的税务身份信息由 Stripe 在开户时收集。买方需要发票的，由接单方开给买方或依当地规则由税务机关代开。

No commission or platform fee; the buyer's channel fee (Section 2) only covers Stripe's acquiring cost and is exactly the number shown before payment. Sellers are independent operators who report and pay their own tax. The platform does not withhold, does not issue 1099s or other tax forms, and does not invoice the service contract; tax identity is collected by Stripe at onboarding. Invoices, if needed, come from the seller to the buyer.

《服务条款》第 7 节「可接受使用」的全部限制同样适用于人才市场的需求、挂牌、消息与交付物，不在此重复。 此外，挂牌不得承接需要执业许可的处置类服务（诊疗、诉讼代理、代理记账、房产居间等）；平台的内容闸门会拦下常见说法并留痕。 举报与权利通知见 版权政策。

Section 7 of the Terms of Service applies to every demand, listing, message and deliverable. Listings may not offer licensed practice (treatment, litigation, bookkeeping, property brokerage and the like). Reports and rights notices: Copyright Policy.

本条款受中华人民共和国香港特别行政区法律管辖并据其解释；因本条款引起的争议提交香港特别行政区有管辖权的法院解决。消费者所在地法律赋予且不可通过约定排除的权利不受本条影响。

Governing law and forum are as stated above (oceanleo Limited, Hong Kong). The versioned in-product terms you accept before acting prevail over this page if they ever differ; Chinese prevails over English.
